TERMS AND CONDITIONS
This document outlines the terms and conditions governing the use of TMT JUNCTION LIMITED acting as a broker between Consignees and Suppliers. By accessing and using our platform, you acknowledge and agree to adhere to the following terms:
The Consignee/Supplier/Transporter are hereinafter referred to as a Party and Collectively as Parties.

Purpose and Understanding

These conditions shall apply as between the Company and the client in respect of the services provided under the Contract.

Charges and Payments:
2.1 Financial and other Charges for consignee : TMT JUNCTION Service charges @ Rs 25/- PMT, Transit Insurance @ Rs 15/- PMT Section Difference as applicable + Loading Charges + GST and TCS as applicable thereon will be levied above the negotiated basic price to the consignee.
2.2 Financial Charges for supplier: TMT JUNCTION services Charges @ Rs 75/- PMT and TDS as applicable will be payable by the Supplier and the same will be deducted against each Invoice issued by the supplier to TMT Junction Limited.

Authorisation and Materials:

Document Submission and Geo-verification: All self-attested documents required as per our list must be submitted by the Consignee/Supplier/Transporter. The Consignee authorises TMT JUNCTION LIMITED for geo-verification of their registered premises.

Order Booking Procedure:

Order Booking: To book the order, Consignee is required to select the supplier from the portal’s display window and click on the (selected supplier’s) chat button, the consignee can further discuss the details with the selected supplier.

Chatting process: Consignee can communicate through text via chat window regarding quantity and rate with the selected supplier.

Negotiated Rate: The Negotiated rate will be valid for one-hour subject to the advance against booking made by the consignee within one hour. If the consignee fails to lock the deal within one hour of window time, it will be on supplier’s choice whether to accept or withdraw the offer.

Issue of Purchase Order by Consignee: Once the negotiation is done, the Consignee needs to issue the purchase order as per TMT JUNCTIONS’S prescribed format for the quantity booked with section wise quantity (Optional MIX Quantity) if the order booked is for bulk quantity.

Issue of Purchase Order by TMT Junction: On receipt of purchase order from Consignee TMT Junction will issue purchase order to the supplier.

Issue of Pro-Forma Invoice by Supplier: On receipt of the Purchase order issued by TMT Junction Supplier will issue Pro-Forma invoice on TMT JUNCTION as Buyer and Consignee as per TMT Junction’s prescribed format.

Issue of Pro-Forma Invoice by TMT JUNCTION: On receipt of the Pro-Forma Invoice from the supplier TMT JUNCTION will issue Pro-Forma Invoice to the Consignee.

Price Structure: Negotiated rates are Basic Price plus Section Difference, Loading Charges, TMT JUNCTION Service charges, Transit Insurance, TDS, TCS, GST and any other charges if any as applicable will be charged extra.

Advance against Booking: The Consignee needs to make 5% advance payment of the pro-forma invoice raised by TMT JUNCTION as advance against the booking within one hour of the rate of negotiation done, failing which may cause cancellation of the order by the supplier.

Time extension / Re-Negotiation Price: If the consignee fails to make 5% advance payment against the booking as per Pro-Forma invoice, then he can request for time extension or Re-Negotiation of rate to the Supplier subject to acceptance/confirmation by the supplier, else the order will be treated as cancelled and TMT JUNCTION will not be liable for any kind of financial occurrence.

Non-Payment of advance against booking: If the consignee fails to make required advance payment after the negotiation for Rate & Quantity, he will get warning call from TMT JUNCTION.

Suspension of Consignee account: If the consignee repeats the act of non payment 2nd time after doing negotiation for rate and quantity, his account will be suspended till the approval by the supplier to allow him to participate (It may be mutually agreed and settle the issue by supplier and consignee by making financial settlement for both the parties for the rate difference if any, for the booked order) TMT JUNCTION will not be liable for any financial occurrence.

Blocking of Consignee Account: If the consignee repeats the action 3rd time, his account will be blocked and if he wishes to rejoin the TMT JUNCTION portal he will have to settle the dispute with the supplier and compensate him financially if there is any loss due to fall in market price after the negotiation done and non executing the order also he need to make 10 Lacs interest free refundable security deposit to TMT JUNCTION, The security deposit amount may be used to compensate the loss of the supplier, due to non lifting of the booked order and any rate fluctuation in the balance order in future by the consignee.

Termination of Consignee account: If the consignee repeats the act again his account will be permanently terminated and blocked by TMT JUNCTION, and the consignee will not be allowed to participate in any services of TMT JUNCTION. Also, the security deposit amount will be forfeited by TMT JUNCTION.

Non Delivery of order by the supplier: If the supplier doesn’t deliver the order booked by the consignee after confirmation, his account will be blocked with immediate effect till he settle the issue with the consignee, such as making financial settlement by making payment of the rate difference, if any for the booked/confirmed quantity. In such circumstances TMT Junction will not be liable for any financial occurrences.

Blocking of supplier’s account: If the supplier repeats the act his account will be blocked permanently and if he wishes to rejoin the TMT JUNCTION portal he will have to settle the old dispute with the consignee financially if there is any loss due to rise in market price also need to make Rs. 10 Lacs interest free refundable security deposit to TMT JUNCTION and the security deposit amount may be used to compensate the loss of the consignee due the rate fluctuation if any.

Liability of TMT JUNCTION: Under any circumstances TMT JUNCTION will not be liable for any financial binding if the supplier or consignee fails to fulfil their commitment. TMT JUNCTION will be acting as a mediator in such situations and will be playing the role to settle the issue amicably between both the parties (Supplier & Consignee) or take necessary required action in this regard as mentioned in the above clauses.
5. Delivery and Payment:

5.1 Lifting schedule for Consignee Lifting of the material should be executed as per the Order Validity mentioned in Proforma Invoice / Contract Note. If consignee fails to lift material as per Lifting Schedule mentioned in Pro-Forma Invoice/Contract Note, he need to make a request to the supplier for extension of delivery time or may request for re-negotiation of the rate, if market prices has changed. Extension or Re-negotiation is subject to approval of supplier, if the supplier doesn’t agree to extension or Re-negotiation, it may cause short close of the balance order. TMT Junction is not liable for any kind of financial occurrence and security deposit amount of 5% will be used to compensate the supplier’s financial loss if there is any due to change in market price.
5.2 Delivery Schedule for Supplier: If supplier fails to execute the dispatch within the committed time as per Contract Note for any reason and market has changed, he may request the consignee for extension of delivery period / re-negotiation of price subject to approval of consignee, if consignee doesn’t agree it cause short close of the balance order. TMT Junction is not liable for any kind of financial occurrence.
5.3 Re-Negotiation Execution: If re-negotiation take place between supplier and consignee for the balance of booked quantity due to any circumstances fresh Purchase Order - Pro-Forma Invoice for the re-negotiated quantity and rate need to be executed considering it as fresh deal.
5.4 Placement of Lorry: Placement of lorry for dispatch is within consignee’s scope, He may use the transporter registered with TMT JUNCTION or may deploy his own choice of transporter.
5.5 Dispatch Instruction Slip: Consignee need to place the lorry using the Dispatch Instruction Slip in prescribed format by TMT JUNCTION.
5.6 Loading and TAX Invoice by supplier: - After loading the supplier need to share their Tax Invoice immediately for payment to TMT JUNCTION as buyer and Consignee
5.7 Tax Invoice by TMT JUNCTION to Consignee: On receipt of supplier’s Tax Invoice TMT JUNCTION will be issuing their Tax Invoice to the Consignee for payment process.
5.8 Payment process by the consignee: On receipt of TMT JUNCTION Tax Invoice the consignee need to make payment immediately for the Tax invoice shared, if the consignee fails to make payment within the banking hours. It will cause holding the lorry and the lorry will be released only after receiving the full payment of invoice. In case payment made after the working hour of supplier, the lorry will be released on the next working day.
5.9 Adjusting the advance against booking: Advance of 5% of the contract value made will be adjusted against the Tax Invoice if the order quantity is for single lorry and if the quantity is for the bulk, the advance of 5% will be adjusted against the last and final dispatch only.
5.10 Holding the vehicle for payment: Under no circumstance the supplier is suppose to release the vehicle without receiving the payment for their Tax Invoice, If the supplier releases the vehicle without receiving the payment, TMT JUNCTION will not be liable for any financial occurrence.
5.11 Transactions and Invoicing: All transaction will be done VIA TMT JUNCTION (Acting as an Escrow agent between the Buyer and Seller) hence the entire invoicing and banking will be routed through TMT JUNCTION only. If the Supplier and Consignee for any reason gets into direct dealing, TMT JUNCTION will not be liable legally and financially.
5.12 Quantity variance: Quantity variance admissible limit will be (+- 1%) of the booked order quantity.
5.13 Quality variance: If there is any quality variance it should be reported within 24 hours of receiving the material by consignee to the supplier and TMT JUNCTION as well. It is supplier’s responsibility to address the complaint made by the consignee and depute his quality person for joint inspection in accordance with third party inspection. TMT Junction shall mediate the issue but it will be settled by the supplier and consignee. However, TMT JUNCTION will not be liable for any legal and financial occurrence. If the supplier doesn’t settle the issue with the consignee amicably he will be warned/blocked/terminated to do business through our facility.
6. TMT JUNCTION charges and levies :
6.1 Transaction charges for suppliers TMT JUNCTION will be charging transaction charges @ Rs 75/- per MT, TDS as applicable will be levied and will be debited against every tax Invoice.
6.2 Subscription Charges for supplier TMT JUNCTION will charge subscription charges based on Monthly, quarterly, Half Yearly, Yearly packages displayed on portal and opted by the supplier.
6.3 Extra space for micro site required by supplier TMT JUNCTION will be providing (…..) MB space for micro site to the supplier for their information sharing on portal if they require extra space they will have to opt the package offered on the Portal
6.4 Advertisement charges for supplier If the supplier wish to advertise their Brand/Product they can opt for the package offered on portal.
6.5 Transaction charges for Consignee TMT JUNCTION will be charging transaction charges @ Rs 25/- PMT to the consignee on every transaction
6.6 Transit Insurance Charges for Consignee TMT JUNCTION will be charging Transit Insurance charges @ Rs 15/- PMT to the consignee on every transaction.
6.7 Subscription Charges for Consignee TMT JUNCTION will charge subscription charges based on Monthly, quarterly, Half Yearly, Yearly packages displayed on portal and opted by the Consignee.
7. Taxation and Statuary Compliances :
7. Taxation & Statutory Compliance:
7.1 Seller is required to discharge all the taxes, cess and duties including but not limited to GST which are charged on an invoice/claimed on Invoice and payable to the Government on their respective due dates. Seller is also required to ensure complete compliance in this regard as per the applicable law in force in India. In the event of any default noticed by Buyer in adhering to the aforementioned obligations, either from its own enquiry or from an enquiry from any statutory authority or on account of any disallowance of any input tax credit, The Buyer shall recover or deduct the tax amount so defaulted along with interest and penalty as per the applicable laws, without prejudice to any other remedies available to The Buyer.
7.2 If Tax Credit of Purchase from Seller is disallowed on account of non-compliance at any time, subject to clause above, then from subsequent Invoice onwards the Tax Levy portion of Invoice shall be withheld and only Material Value shall be released. Tax Value shall be released only after compliance is made and Tax Credit is made available.
7.3 Consignee is also required to ensure complete compliance in this regard as per the applicable law in force in India. In the event of any default noticed by Buyer in adhering to the aforementioned obligations, either from its own enquiry or from an enquiry from any statutory authority or on account of any demand, The Buyer shall demand or recover or deduct the tax amount so defaulted along with interest and penalty as per the applicable laws, without prejudice to any other remedies available to The Buyer.
7.4 All compliance as per the applicable law in force in India including GST, TDS related to Transportation, shall be within the scope of Consignee. In the event of any default noticed by Buyer in adhering to the aforementioned obligations, either from its own enquiry or from an enquiry from any statutory authority or on account of any demand, The Buyer shall demand or recover or deduct the tax amount so defaulted along with interest and penalty as per the applicable laws, without prejudice to any other remedies available to The Buyer.
7.5 In the event of any default by noticed by Consignee in statutory compliance either from its own enquiry or from an enquiry from any statutory authority, The Consignee shall inform and alert regarding the same immediately to enable TMT Junction take corrective action and prevent demand for such default.
8. Cybersecurity and Data protection:
8.1 Cyber security : Supplier / Consignee / Transporter shall take appropriate organisational and technical measures to ensure the confidentiality, authenticity, integrity and availability of Supplier Operations as well as products and services. These measures shall be consistent with good industry practice and shall include an appropriate information security management system consistent with standards.
8.2Data Protection : The Parties are responsible for ensuring that any ‘Personal Data’ supplies to the company has been collected within the terms of Information Technology Rule, 2011. The Company agrees to process the Data in accordance with lawful and reasonable written instruction provided by the Party
8.3 Data Usage Consent: Consignees/Suppliers/Transporters provide consent to TMT JUNCTION LIMITED for using their data to enhance user experience.
9. Completion and Acceptance
9.1 Joint responsibility for timely execution : The Parties will work together to complete the relevant consignment in the timely manner. The Company agrees to work expediently to provide the services on the time agreed terms and no later than the agreed date in respect of the contract. The parties shall agree the relevant sign-off and acceptance for the services in accordance with the company’s standard procedure.
9.2 Joint Responsibility for Valid Movement of Goods: You, as the Consignee/Supplier/Transporter, shall be jointly and severally responsible for ensuring the valid movement of the goods. TMT JUNCTION LIMITED is not responsible for any invalid, false, incorrect movement, or misrepresentation regarding transportation of goods.
10. Intellectual Property Right

In the event of new inventions, designs and processes evolve in the performance of the services or the result of the contract, the Party should acknowledge that the same shall be the property of the Company.

Supplier authorises the Company for use of its Intellectual property on Portal. TMT Junction will not be liable under any circumstances for any claim/legal liability/proceedings related to Intellectual Property of Supplier.
11.Limitation of liability
11.1 The Company shall not have any liability to the party for any loss, damage, costs, expenses or other claims for compensation arising out of the Parties material or instructions supplied by the client which are incomplete, inaccurate, illegible or wrong in any form or fault of the client.
12. Confidentiality : The parties are required to keep the proprietorship information and the information shared by the Company confidential.
13. Termination : The Agreement may be terminated by either party under specific conditions, such as breach of contract or non-payment.
14. Governing Law : The laws of the Land shall govern this Agreement.
15. Entire Agreement : The written Agreement constitutes the entire agreement between the parties, superseding prior discussions or agreements.
16. Force Majeure : The Company shall not be liable for any default by the reason of any delay due to any circumstances beyond their reasonable control.
17. Dispute Resolution :
17.1 Any dispute, controversy or claim arising out of relating to this Contract, or the breach, termination or invalidity thereof shall be settled by Arbitration in accordance with the rule of the Arbitration, and the award passed by the arbitrator thereof will be binding on the parties.
17.2 Legal Consequences of Misrepresentation: Any misrepresentation, wrong, or incorrect information provided by Consignee/Supplier/Transporter will attract legal proceedings personally as per the law of the land.
17.2 Financial Disputes: Any financial disagreements or rate differences between parties are not the responsibility of TMT JUNCTION LIMITED.
18. Warranty: The Company makes no implied warranties and specifically disclaims any implied warranties, with respect to the performance of the service under the contract and these conditions to the extent permissible by law.
19. Support, Maintenance and General Matters:

Registration and Responsibilities: Consignees must ensure transporter registration. Loading, halting, and payment responsibilities are divided as outlined. If the Consignee's chosen transporter is not registered on TMT JUNCTION LIMITED, registration may be done optionally by the Consignee.

Transportation Responsibility: The transportation of the material shall be the sole responsibility of the Consignee. Consignee can use portal-registered Transporters for this purpose.

Unfortunate Events / Transit Loss: In the unfortunate event of transit loss, the Consignee shall make the necessary claims under Transit Insurance Policy as applicable. TMT Junction shall assist in claim processing but it shall be at sole discretion of the Insurer and other remedies available and TMT Junction shall not be liable under any circumstances.

Indemnification for Inspection and Verification: The Supplier shall indemnify TMT JUNCTION LIMITED for any loss caused due to inspection, verification by statutory authorities (if any), or any irregularities or misrepresentations observed.

Responsibility for Detention, Delay, and Halting during Transit: As the Consignee/Transporter, you shall be responsible for any detention, delay, or halting of material transportation during transit. TMT JUNCTION LIMITED shall not be liable for any claims arising from such circumstances.

Compliance and Liability: TDS (Tax Deducted at Source) and GST RCM (Goods and Services Tax Reverse Charge Mechanism) responsibilities are outlined.

Section Difference Rates: Section Difference rates are provided for different material sizes.

Quantity Variation & Dispute Regarding the same: Any quantity variation or dispute shall be mutually settled and adjusted among the Consignee/Transporter/Supplier. TMT JUNCTION LIMITED shall not be liable for any such claims.
By proceeding with any transaction on TMT JUNCTION LIMITED, you confirm that you have read, understood, and agreed to abide by the above terms and conditions. Please sign and return a copy of this document to confirm your acceptance and authorisation.
These terms and conditions constitute a binding agreement between TMT JUNCTION LIMITED, Consignees, and Suppliers. By accessing and using our platform, you acknowledge and accept these terms in their entirety.
